e WASTE MANAGEMENT AGREEMENT

This Waste Management Agreement (the "Agreement") is entered into as of the 22-Aug-23 (the "Effective Date"), by and between Somaiya Vidyavihar located at Vidyanagar, Vidyavihar East, Mumbai-400077, Maharashtra, India hereinafter referred to as the "Organization," and Ecostar Recycling, with its office at 1st Floor - Gala No 31,32 Khuriya Estate, Opp Ashok Apartments CTS Road, Kalina Santacruz east referred

to as "Ecostar Recycling."

WHEREAS, the Organization has identified E-waste (as defined by the E- waste Management Rules, 2018) that it wishes to recycle from time to time, and Ecostar Recycling desires to provide comprehensive waste management services on behalf of the Organization for the processing of such E-waste.

THEREFORE, the Organization shall provide the Material, and Ecostar Recycling shall recycle the Material in accordance w th the following terms and conditions:

1.Material

1.1The Material referred to in this Agreement shall be E-waste as defined by the E-waste Management Rules, 2018. The Material          specifically excludes equipment containing radioactive materials, free-flowing liquids, chlorofluorocarbons, polychlorinated biphenyls, or      other hazardous wastes. Ecostar Recycling reserves the right to deny the pick-up of any E- waste at its discretion.

2.Services

2.1 Ecostar Recycling shall ensure that the E-waste picked up from the Organization is disposed of in compliance with applicable                      regulations.

3.Ecostar Recycling Representations and Warranties

3.1 Ecostar Recycling agrees to comply with all applicable permits, central, state, and local laws, regulations, ordinances, and duly                    constituted authorities in performing all the services under this Agreement.

3.2 Ecostar Recycling shall be responsible for all statutory and environmental compliances related to the scrap disposal activities, and the        Organization shall not be held responsible for such compliance after the scrap material is handed over to Ecostar Recycling.

4.Organization’s Representations and Warranties

4.1 The Organization represents that it has full and unencumbered title to all Material delivered to Ecostar Recycling under this Agreement.

4.2  The Organization shall issue all appropriate dispatch documents, where applicable.

5. Term

5.1 This Agreement shall be effective for a term of two (2) years from the Effective Date. Ecostar Recycling shall be the official/exclusive           waste collector and recycler for the Organization during this term.

6.Independent Contractor

6.1 In providing the Services under this Agreement, each party shall act as an independent contractor, and nothing in this Agreement shall         create an association, partnership, joint venture, principal-agent relationship, or erriployer-employee relationship between the parties           or their agents.

7.Miscellaneous

7.1 this Agreement, unless otherwise agreed upon in writing prior to the commencement of such services.

7.2 This Agreement may be terminated at any time by either party upon material breach by the other party or upon thirty (30) days’ written notice          without cause.

7.3  If any provision of this Agreement is deemed invalid or unenforceable, it shall be considered severable to the extent necessary, and the remaining

       provisions shall remain in full force and effect. The Agreement shall be interpreted, to the extent possible, to give effect to its stated purpose.

7.4 This Agreement shall be binding upon and shall insure to the benefit of the Organization, Ecostar Recycling, and their respective                             representatives, successors, and assigns, as applicable

7.5  This Agreement constitutes the entire agreement between the parties and supersedes any prior understandings, agreements, or promises             with respect to the subject matter hereof. This Agreement may not be modified, waived, or extended except in writing and signed by both               parties. Any waiver of terms and conditions shall not constitute a permanent waiver unless expressly stated in writing.

7.6  This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with             this Agreement shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra, to the exclusion of all other courts.

8.Ewaste List for Pick Up

   Drives	Batteries
   Mobiles	Phones
   Wires / Cables	Peripherals

8.1Batteries, toners, cartridges, tube lights, and bulbs are considered negative items, and Ecostar Recycling shall not provide any       payment for these items. However, Ecostar Recycling will ensure that they are disposed of in the most eco-friendly manner.

9.Billing & Payment

 a) Organization would deposit all e-waste at one collection point — state wise

 b) Organization shall submit Invoice state wise (GST Inclusive) any 

     appropriate documentation reasonably necessary to evidence of the services being invoiced.

c) Payments shall be made by DD , NFFT Bank Transfer, as per

                       terms before the material is picked up

Section A

GST lnc!uded (Rates are GST Included)

The above amount would be inclusive of GST

1. Pick Up, Loading, Handling & Transportation from each State inclusive
2. Form2 & Form6woudbe handed overran+adayofPickup
3. Green Certificate for material collected would be provided in 15 days from date of order

10.Confidentiality

Both parties shall maintain the confidentiality of the information provided by the Organization to Ecostar Recycling and shall no! d:sclose such information to an‘/ third party, except to personnel of Ecostar Recycling with a reasonable need to access the information for serving the Organization. The provisions of this clause shall apply mutatis mutandi to the other party.
